Terms and Conditions

1. Introduction

Welcome to Kosu ("Kosu", "we", "us", or "our"). By accessing or using our website (usekosu.com) and related services, including our API and browser extension (collectively, the "Service"), you agree to be bound by these Terms.

If you do not agree to these terms, you must not use the Service.

2. Description of Service

Kosu is a curated read-later queue. You save URLs, we fetch metadata and organise them into a prioritised, reorderable queue. Content you don't engage with fades over time and is eventually auto-archived. The Service includes a web application, REST API, and browser extension.

3. Account Registration

You must be at least 18 years old. You agree to provide accurate information during registration and keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and API keys, and for all activities under your account.

4. Content and Data Ownership

Your data. You retain ownership of the URLs you save and the queue you create. By using the Service, you grant Kosu a worldwide, non-exclusive, royalty-free licence to fetch, process, store, and display metadata (titles, descriptions, thumbnails, favicons) from your saved URLs solely to provide the Service.

Usage data. We may use anonymised, aggregated usage data (content type trends, engagement patterns, queue behaviour) to improve the Service, develop features such as content recommendations, and conduct research. This data cannot identify you. You can opt out in your account settings. See our Privacy Policy for details.

Your responsibilities. You will not use the Service for illegal purposes and you comply with applicable laws.

Content liability. Kosu does not host or serve third-party content – we store metadata only. We are not responsible for the content, availability, or practices of any third-party site you save.

5. Subscription Plans and Billing

Kosu offers a free Starter plan (50 items) and a paid Pro plan with expanded limits. Current pricing is at usekosu.com/pricing.

Pro subscriptions are billed monthly via Stripe. Subscriptions renew automatically unless cancelled before the renewal date.

You may cancel Pro at any time in your settings. Cancellation takes effect at the end of the current period – your account reverts to the Starter plan, data intact. No refunds for partial periods.

We may change prices with 30 days' notice. Changes take effect at your next renewal.

6. API Access

API access is available on all plans, verified by Unkey. API keys are confidential and must not be shared. You must comply with rate limits. Excessive or abusive usage may result in rate limiting or suspension. APIs are provided "as-is" and may change with notice.

7. Acceptable Use

You agree NOT to:

• Use the Service to violate any laws
• Attempt to gain unauthorised access to the Service
• Distribute malware, spam, or malicious content
• Scrape or harvest data using unauthorised automated means
• Reverse engineer or extract source code
• Resell or redistribute the Service

8. Service Availability

We strive for reliable service but do not guarantee uninterrupted access. The Service is provided "as-is". We may modify, suspend, or discontinue any part with reasonable notice to paid subscribers. We may suspend or terminate accounts that violate these terms.

9. Privacy

We collect and process data as described in our Privacy Policy. By using the Service, you consent to such collection and processing.

10. Intellectual Property

The Service, including all software, designs, and technology, is owned by Kosu and protected by intellectual property laws. These terms do not grant you ownership rights to the Service. If you provide feedback, you grant Kosu the right to use it without compensation.

11. Disclaimers

The Service is provided "as-is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

Nothing in the Service constitutes professional, financial, legal, or other advice. Any metadata, recommendations, or suggestions provided by the Service are for informational purposes only and should not be relied upon as a basis for decisions.

12. Limitation of Liability

To the maximum extent permitted by law: we are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or profits. Our total aggregate liability for any claim arising from or related to the Service shall not exceed the total amount you paid us in the 12 months prior to the claim, or £50, whichever is greater.

We are not responsible for:

• Content at URLs you save (we only store metadata)
• Loss of data due to user error
• Third-party services (Stripe, Clerk, Unkey, or any site you save)
• Unauthorised access due to compromised credentials
• Accuracy or completeness of metadata fetched from third-party URLs
• Service interruptions or downtime

13. Indemnification

You agree to indemnify and hold Kosu harmless from claims, damages, losses, or expenses arising from your use of the Service, URLs you save, or your violation of these terms.

14. Governing Law

These Terms are governed by the laws of the United Kingdom. Any disputes shall be resolved in UK courts. Before filing a claim, you agree to contact matt@mattspear.co to attempt informal resolution.

15. Changes

We may update these Terms from time to time. Material changes will be communicated via email or notice in the Service. Continued use after changes constitutes acceptance.

16. General

If any provision is unenforceable, the rest remains in effect. These terms plus our Privacy Policy constitute the entire agreement between you and Kosu.
